Terms of Service

1. Scope

These terms govern the use of Cuckoo ("the service"), a web service for monitoring scheduled jobs, operated by metikular GmbH, Alte Hedingerstrasse 25a, 8910 Affoltern am Albis, Switzerland ("we", "us"). They apply between us and the organization that creates an account ("customer", "you"). The service is intended for businesses and professionals, not for consumers. By creating an account you confirm that you act for a business and accept these terms on its behalf.

2. The service

Cuckoo gives each check a ping URL (and accepts Sentry-compatible check-ins), records the pings it receives and sends alerts by email and to the integrations you configure when an expected ping does not arrive in time, when a failure is reported, and when a check recovers. The features and limits of each plan are described on the pricing page. We may improve and change the service; we will not remove a core feature of a paid plan during a paid period without offering a pro-rata refund.

3. Monitoring is a safety net, not a guarantee

Alerts depend on networks, mail servers and third-party services (such as Slack or Discord) that we do not control, and on the service itself being available. We work hard to deliver every alert once and on time, but we cannot guarantee that an alert is delivered, or delivered in time. Do not use Cuckoo as the only safeguard for systems where a missed alert could endanger life, health or significant assets.

4. Accounts

You sign in with a link sent to your email address. Keep access to your mailbox, your API tokens, ping URLs and DSN secure; pings and API calls made with them are attributed to you. Owners of an organization manage its members, integrations, billing and data.

5. Acceptable use

Do not use the service to break the law, to send personal data of others in ping bodies without a legal basis, to overload the service (pings above the documented rate limits are rejected), to attack other systems through webhooks, or to circumvent plan limits or security measures. We may suspend accounts that do so, after a warning where reasonable.

6. Plans, trial and payment

• The Free plan is free of charge, with the limits shown on the pricing page.
• The Team plan can be tried for 14 days without a payment method, once per organization. After the trial the organization returns to the Free plan unless you subscribe.
• Paid plans are billed in advance, monthly or yearly, in Swiss francs through our payment provider Stripe. Prices for customers in Switzerland and Liechtenstein include Swiss VAT (currently 8.1%). Customers abroad are charged the same amount; where the reverse-charge mechanism applies, you account for VAT in your country.
• Subscriptions renew automatically for the same period until cancelled. We may change prices with at least 30 days' notice by email; the new price applies from the next renewal, and you may cancel before it.
• If a payment fails, Stripe retries it. If it keeps failing, the organization may be moved to the Free plan.

7. Cancellation and downgrades

You can cancel at any time in the billing portal. The plan stays active until the end of the paid period. If you are unhappy within 14 days of your first payment, write to hello@metastic.ch and we refund it in full. When a plan ends or is downgraded, checks above the new limit stop sending alerts and the ping history is shortened to the new plan's retention.

8. Your data

Your data remains yours. We process it only to provide the service, as described in the Privacy Policy, which also serves as our data processing terms for personal data you send to the service. Owners can delete the organization at any time; deleted data is removed from backups within 30 days.

9. Liability

To the extent permitted by law, we are liable only for damage caused intentionally or by gross negligence. Liability for slight negligence, indirect or consequential damage, lost profit, lost data and damage caused by missed or late alerts is excluded. In any case, our total liability is limited to the fees you paid in the 12 months before the damaging event.

10. Term, changes, law

The contract runs until you delete your organization or account. We may terminate a Free account with 30 days' notice, and any account for serious breach with immediate effect. We notify owners of material changes to these terms by email at least 30 days in advance. These terms are governed by Swiss law, excluding the CISG. The exclusive place of jurisdiction is Zurich, Switzerland.
